Univar announces Pricing of Sale of Shares by Shareholders

CD&R and Dahlia to divest 15’000’000 Shares of Univar

Global chemical distributor Univar Inc. (Downers Grove, IL – United States) announced yesterday the pricing of the previously announced public offering of 15’000’000 shares of Univar’s common stock by investment funds affiliated with Clayton, Dubilier & Rice LLC (“CD&R”) and Dahlia Investments Pte. Ltd., an indirect wholly owned subsidiary of Temasek Holdings (Private) Limited (“Dahlia”) to Goldman, Sachs & Co., as the sole underwriter in the registered public offering of those shares.

 

The price to the public will be USD 29.00 per share. The offering is expected to close and settle on 03. February 2017, Univar said. The CD&R and Dahlia will receive all of the net proceeds from the offering.  No shares are being sold by Univar. The offering is representing approximately 10.7% of the company’s issued and outstanding shares.

 

Following the offering, CD&R and Dahlia will own 21’561’039 and 14’165’603 shares of Univar’s common stock, respectively. The offering was initially announced on 31. January 2017.
